Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and TikCut ("TikCut", "we", "us", or "our") governing your access to and use of the TikCut website at tikcut.app, its progressive web application, and all related services, tools, and features (collectively, the "Service").
By creating an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Service.
These Terms supersede any prior agreements between you and TikCut relating to the Service.
2. Eligibility
You must be at least 13 years old to use TikCut. If you are located in the European Economic Area or the United Kingdom, you must be at least 16 years old. By using the Service you represent and warrant that you meet the applicable age requirement, that you have the legal capacity to enter into a binding contract, and that you are not barred from using the Service under any applicable law.
If you use the Service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" refers to both you individually and the entity.
3. Accounts and Security
To access certain features of the Service you must create an account. You may register using your email address and a password, or through a supported third-party identity provider (currently Google). You are responsible for:
- Providing accurate, current, and complete registration information and keeping it updated.
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account, whether or not authorized by you.
- Immediately notifying us at support@tikcut.app of any unauthorized access or suspected security breach.
You may not share your account credentials with any third party. Each account is for a single user only. We reserve the right to suspend or terminate accounts that are shared, transferred, or used in violation of these Terms.
Your account is managed via our authentication infrastructure provider. Your account is subject to their security practices in addition to our own.
4. Description of the Service
TikCut is a browser-based video editing tool designed primarily for TikTok Shop affiliates and short-form content creators. The Service enables you to:
- Silence removal: Automatically detect and remove silences, dead air, and pauses from video files. This processing runs entirely within your browser using the Web Audio API and WebCodecs — your raw video is not uploaded to our servers during this step.
- AI transcription: Automatically transcribe speech in your video using third-party AI speech-to-text models. To perform transcription, audio segments are extracted from your video and transmitted to our AI provider's servers. See Section 6 for important information about this.
- AI editorial features: Detect duplicate takes, identify script loose ends, suggest editorial cuts, and apply auto-zoom markers. These features use your video's transcript, which may be transmitted to third-party AI providers. See Section 6.
- Video export: Re-encode and export your edited video using WebCodecs or a local FFmpeg WebAssembly engine. Exported video is processed entirely in your browser and downloaded directly to your device.
- Session persistence: Save your editing progress locally in your browser's localStorage so you can resume editing after a page refresh. No session data is stored on our servers unless otherwise stated.
We may add, modify, or discontinue features at any time. Material changes that affect paid functionality will be communicated with reasonable advance notice.
5. Your Content
You retain all ownership rights in the videos, audio, images, and other materials you process using the Service ("User Content"). By using the Service, you grant TikCut a limited, non-exclusive, worldwide, royalty-free license to process, transmit, and handle your User Content solely as required to provide the Service to you. We claim no creative ownership of your output.
You represent and warrant that:
- You own or have obtained all necessary rights, licenses, consents, and permissions to use your User Content with the Service.
- Your User Content does not infringe any copyright, trademark, privacy, publicity, or other intellectual property or proprietary right of any third party.
- Your User Content does not contain material that is unlawful, defamatory, harassing, abusive, obscene, or otherwise objectionable.
- Your User Content does not include content that sexually exploits minors, constitutes child sexual abuse material, or otherwise violates laws protecting minors.
- If your User Content includes the likeness, voice, or personal information of third parties, you have obtained their consent.
Because most processing occurs locally in your browser, TikCut does not retain copies of your raw video files after your session ends. Transcripts or metadata generated by AI features and explicitly saved by you may persist on our servers as described in the Privacy Policy.
6. AI Features and Third-Party AI Processing
Several features in TikCut use third-party artificial intelligence services. By enabling these features you acknowledge and consent to the following:
6.1 Transcription
When you use the auto-transcription, editorial review, script polish, or duplicate-detection features, audio extracted from your video is sent to our third-party AI provider for speech-to-text processing. By using these features:
- You consent to your audio data being transmitted to our AI provider's servers for processing.
- You represent that you have the right to submit this audio for AI processing, including any third-party speech contained in the video.
- You acknowledge that our AI provider processes this data subject to their own privacy policy. We are not responsible for their data handling practices.
6.2 Editorial AI (Large Language Models)
Features such as editorial review, script polish, and loose-end detection send your video's transcript text to a third-party large language model. By using these features you consent to your transcript being processed by these third-party AI systems.
6.3 Voice Cloning and Voiceovers
The Voiceover feature lets you record a voice, create a synthetic voice model from it, and generate spoken audio from text using that model. By using this feature you represent and agree that:
- You will only create a voice model from your own voice, or from a voice for which you have obtained the explicit, informed consent and all necessary rights of the person whose voice it is.
- You will not use the feature to impersonate, deceive, defraud, or mislead any person, to create "deepfakes," or to produce content that is unlawful, defamatory, harassing, or that infringes any third party's rights.
- You are solely responsible for the scripts you provide and the voiceovers you generate, and for how you use or distribute them.
- Your voice recording is transmitted to our third-party voice-AI provider to create and store a voice model, as described in our Privacy Policy. You may delete a saved voice at any time, which also requests deletion of the model from the provider.
We may suspend or terminate access to the Voiceover feature, or your account, if we reasonably believe you have violated these requirements.
6.4 AI Output
AI-generated suggestions and audio are provided on an "as is" basis. TikCut does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output. You are solely responsible for reviewing and approving all AI output before using it.
6.5 No Training on Your Content
We do not use your User Content or AI-generated transcripts to train our own machine-learning models. Our agreements with third-party AI providers require that your data not be used to train their models, however you should review their policies independently as these may change.
7. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Process video content that infringes any copyright, trademark, trade secret, or other intellectual property right of any party.
- Process content that constitutes or contains child sexual abuse material or any content that sexually exploits minors.
- Process content that is defamatory, harassing, threatening, obscene, or that promotes violence or discrimination.
- Use the Service to process content with intent to deceive, defraud, or harm any person or entity.
- Attempt to probe, scan, or test the vulnerability of the Service, or circumvent any security or authentication measure.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Use automated tools (bots, scrapers, crawlers) to access the Service at scale without our prior written consent.
- Use the Service to build, train, or improve a competing product or service.
- Use AI features to process third-party audio or video content without appropriate rights and consents.
- Resell, sublicense, transfer, or grant any third party access to your account or to the Service.
- Use the Service in a way that imposes an unreasonable or disproportionately large load on our infrastructure.
- Violate any applicable law, regulation, or third-party right.
Violation of this section may result in immediate suspension or termination of your account without refund, and may subject you to civil or criminal liability.
8. Subscriptions, Pricing & Payments
8.1 Plans
TikCut offers free and paid subscription tiers. The features, limits, and pricing for each tier are displayed on our pricing page and at checkout. We reserve the right to modify plan features and pricing with reasonable advance notice to existing subscribers.
8.2 Launch Pricing
From time to time we offer discounted launch or introductory rates (each a "Launch Price") on one or more subscription tiers — for example, an early-member rate on our original plan or a launch-week rate on the GMV Maxxer tier. Users who subscribe at a Launch Price will retain that discounted rate for the duration of their continuous subscription to that tier. The Launch Price applies to the billing cycle selected at the time of subscription. If you cancel your subscription, the Launch Price is forfeited and the then-current standard pricing shown on our pricing page will apply upon resubscription.
8.3 Billing and Auto-Renewal
Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). Subscriptions purchased in the iOS app are billed by Apple through the App Store to your Apple ID, renew automatically unless cancelled at least 24 hours before the end of the current billing period, and are managed or cancelled in your device's App Store settings. Subscriptions purchased on the web are charged by our payment processor to your payment method at the start of each billing period until you cancel. You are responsible for keeping your payment information current.
8.4 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current paid billing period. You retain access to paid features until that date. We do not provide prorated refunds for unused time in an active billing period unless required by law.
8.5 Refund Policy
All fees are non-refundable except as required by applicable law or as follows: if you experience a material service failure caused solely by TikCut within the first 7 days of a new paid subscription, you may contact us at support@tikcut.app to request a refund, which we will evaluate in good faith. Refund eligibility and amounts are determined at our sole discretion.
8.6 Payment Processing
All payments are processed by our third-party payment processor. By providing payment information you agree to their terms of service. We do not store full payment card numbers on our servers. Our payment processor may store and process your payment data subject to their own privacy policy.
8.7 Taxes
Prices are exclusive of applicable taxes unless otherwise stated. You are responsible for all taxes, levies, or duties imposed by applicable law on your purchase, except for taxes based on TikCut's income.
8.8 Failed Payments
If a payment fails, we will attempt to notify you and may retry the charge. If payment cannot be collected after reasonable retries, your account may be downgraded to the free tier and access to paid features suspended.
9. Service Changes and Availability
TikCut is under continuous development:
- We may add, modify, or remove features and functionality; where a change materially reduces core paid functionality, we will give existing subscribers reasonable notice.
- The Service may occasionally be unavailable due to maintenance, updates, or circumstances beyond our control. We do not guarantee uninterrupted availability.
- We may ask for feedback to improve the product. Feedback you provide is voluntary and may be used to improve TikCut without compensation to you.
These provisions do not affect your statutory rights where applicable law does not permit them to be excluded.
10. Intellectual Property
10.1 TikCut IP
The Service and all of its components — including but not limited to software code, algorithms, user interface design, graphics, trademarks, trade names, service marks, and proprietary content created by TikCut — are owned by or licensed to TikCut and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. All rights not expressly granted to you are reserved.
10.2 License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal or internal business purposes as a content creator.
10.3 Feedback
If you submit ideas, suggestions, or other feedback about the Service ("Feedback"), you grant TikCut a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate that Feedback into the Service without any obligation to you.
10.4 Third-Party Open Source
The Service incorporates third-party open-source software. Applicable open-source licenses are available upon request and do not alter your rights or obligations under these Terms.
11. Third-Party Services and Links
The Service relies on third-party providers for infrastructure, authentication, payment processing, and AI features. Your use of the Service involves these providers handling limited data as described in our Privacy Policy. TikCut is not responsible for the practices, content, or availability of any third-party service.
TikCut is not affiliated with, endorsed by, or sponsored by TikTok, ByteDance, or any of their subsidiaries or affiliates. "TikTok Shop" is a trademark of its respective owner.
12. Privacy and Data
Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your personal information. By using the Service you agree to our data practices as described in the Privacy Policy.
Key points relevant to these Terms:
- Video editing (silence removal, export) occurs locally in your browser. Raw video is not uploaded to our servers.
- AI transcription and editorial features transmit audio or transcript data to third-party AI providers. You consent to this when you enable these features.
- We collect usage analytics to improve the Service, as described in the Privacy Policy.
13. Termination
13.1 By You
You may stop using the Service and delete your account at any time. Deleting your account will terminate your subscription at the end of the current billing period and initiate deletion of your personal data as described in the Privacy Policy.
13.2 By TikCut
We may suspend or terminate your account or access to the Service at any time, with or without notice, if: (a) you violate these Terms or our policies; (b) we reasonably believe your use creates legal, financial, or reputational risk for TikCut or other users; (c) required by law or a valid legal order; or (d) we discontinue the Service.
If we terminate your account for reasons other than your violation of these Terms, we will provide a prorated refund of prepaid subscription fees for the unused portion of your current billing period.
13.3 Effect of Termination
Upon termination, your license to use the Service ends immediately. Provisions of these Terms that by their nature should survive will survive, including without limitation: Sections 5, 6, 7, 10, 14, 15, 16, and 17.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE IN TRADE.
WITHOUT LIMITING THE FOREGOING, TIKCUT DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY RESULTS OR OUTPUT OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) AI-GENERATED SUGGESTIONS WILL BE COMPLETE, ACCURATE, OR SUITABLE FOR YOUR PURPOSES; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
VIDEO EDITING INVOLVES IRREVERSIBLE CHANGES TO MEDIA FILES. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUPS OF YOUR ORIGINAL VIDEO FILES. TIKCUT IS NOT LIABLE FOR ANY LOSS OF DATA OR CONTENT.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- TIKCUT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF TIKCUT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IN ANY TWELVE (12) MONTH PERIOD WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU ACTUALLY PAID TO TIKCUT DURING THAT PERIOD, OR (B) ONE HUNDRED US DOLLARS (USD $100).
THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STATUTE, OR OTHERWISE). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
16. Indemnification
You agree to indemnify, defend (at TikCut's option), and hold harmless TikCut and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, demands, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your User Content; (b) your use or misuse of the Service; (c) your violation of these Terms or any applicable law; (d) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; or (e) any dispute between you and a third party.
TikCut reserves the right to assume exclusive control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms and any dispute arising out of or related to them or the Service will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.
17.2 Jurisdiction
Subject to the arbitration provision below, you and TikCut each irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration.
17.3 Informal Resolution
Before filing any legal claim, you agree to first contact us at support@tikcut.app and attempt to resolve the dispute informally for at least 30 days. This does not apply to IP infringement claims or emergency injunctive relief.
17.4 Consumer Rights
Nothing in this section limits any statutory rights you may have as a consumer under the laws of your country of residence that cannot be waived by contract, including rights under EU/UK consumer protection law.
18. General Provisions
18.1 Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and TikCut regarding the Service and supersede all prior or contemporaneous agreements.
18.2 Modifications
We may update these Terms from time to time. Material changes will be communicated via in-app notice or email at least 14 days before taking effect, unless changes are required immediately for legal or security reasons. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
18.3 Severability
If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.
18.4 Waiver
No waiver of any provision of these Terms will be deemed a continuing waiver of that provision or any other provision. Our failure to enforce any right or provision will not constitute a waiver.
18.5 Assignment
You may not assign or transfer any rights or obligations under these Terms without our prior written consent. TikCut may assign these Terms in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of our assets, with notice to you.
18.6 Force Majeure
TikCut will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, internet or telecommunications failures, or third-party service outages.
18.7 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
19. Affiliate Program
TikCut offers an optional affiliate program that lets eligible account holders earn commissions for referring new paying subscribers. Participation is voluntary and governed by this section in addition to the rest of these Terms. Nothing in this section forms an employment, agency, partnership, or joint-venture relationship between you and TikCut; you participate as an independent party.
19.1 Joining and Activation
To participate, you activate an affiliate account inside the app and provide a PayPal email address, which is where any commissions are paid. When you activate, you agree to the affiliate terms in this section and consent to receive program-related emails at your account email address, including messages about payouts, commission statements, rate or policy changes, and other program updates. These are operational communications tied to your participation; you may leave the program at any time, and you may unsubscribe from non-essential marketing emails as described in our Privacy Policy.
An active TikCut subscription is required to participate. The affiliate program is for TikCut subscribers: you must hold an active TikCut subscription (including an active free trial or a canceled subscription that has not yet expired) both to activate an affiliate account and to remain in the program. If your subscription ends, your participation in the program is suspended automatically: your referral code becomes void immediately and can no longer be used by anyone, and no new commissions accrue to your account from that point on, including commissions from renewal payments made by users you referred while you were subscribed. Commissions you earned before your subscription ended remain yours and stay payable under Section 19.3. If you resubscribe, your affiliate account and referral code reactivate automatically and commissions resume accruing from that point forward.
19.2 How Referrals and Commissions Work
You receive a personal referral code. When a new user enters your code in the app and subscribes, that subscription is attributed to you, and you earn a commission on the payments TikCut actually receives for that subscription while it remains active, subject to this section.
- All purchases go through Apple. Referred users subscribe through Apple In-App Purchase. You do not process, collect, or handle any payment, and you must never direct anyone to an external or alternative checkout.
- The commission rate is set by TikCut and may differ between affiliates (for example, higher rates for top performers). We may change your rate at our discretion. Any rate change applies only to commissions earned on future billing events; it is never applied retroactively, and commissions already earned keep the rate at which they were earned.
- Commissions are calculated on qualifying, completed payments. Free trials, unpaid periods, taxes, and amounts refunded, reversed, charged back, or otherwise not received by TikCut do not generate a commission, and we may deduct or reverse commissions previously credited for payments that are later refunded, charged back, or found to be fraudulent.
19.3 Payouts and Minimum Threshold
Approved commissions accrue as a pending balance. Payouts are made by PayPal only, to the email address on your affiliate account. A payout is issued once your eligible pending balance reaches a minimum threshold of US $25.00; balances below the threshold roll over and continue to accumulate until the threshold is met. We generally process eligible payouts on a monthly basis. You are responsible for providing an accurate, valid PayPal address; we are not responsible for funds sent to an incorrect address you provided, and unclaimed or undeliverable payouts may be forfeited after a reasonable period.
19.4 Taxes
You are solely responsible for any taxes owed on commissions you earn. Depending on your jurisdiction and earnings, we may be required to collect tax information (such as a W-9 or W-8 form) before issuing payouts, and to report amounts paid to you to the relevant tax authorities. Failure to provide required tax information may delay or forfeit payouts.
19.5 Acceptable Promotion
You agree to promote TikCut honestly and lawfully. You must not:
- Refer yourself, create accounts to claim commissions on your own subscriptions, or otherwise generate fake, incentivized-fraud, or artificial referrals.
- Make false, misleading, or unauthorized claims about TikCut, its features, pricing, or your relationship with us.
- Spam; send unsolicited bulk messages; or promote your code in a way that violates any platform's rules or applicable law (including advertising, consumer-protection, and disclosure laws such as FTC endorsement guidelines).
- Bid on TikCut's trademarks in paid search, register confusingly similar domains, or impersonate TikCut.
- Offer unauthorized cash-back, rebates, or other inducements that misrepresent the offer to referred users.
19.6 Suspension, Removal, and Changes
We may withhold or reverse commissions, suspend or remove you from the program, or modify or discontinue the program at any time, including if we reasonably believe you have violated this section or these Terms, engaged in fraud or abuse, or created legal or reputational risk. We may also update the program's rules, rates, and thresholds on a going-forward basis with notice through the app or by email. Your continued participation after a change takes effect constitutes acceptance of it.
